Note: These terms apply to client services (consulting, projects, web hosting, email services, maintenance). They are separate from our website usage terms for site visitors.
1) Parties and acceptance
These Client Service Terms (“Terms”) are between Redideo Studio LLC, doing business as Redideo Studio (“Redideo Studio,” “we,” “us”), and the purchasing client (“Client,” “you”). By signing a proposal, paying an invoice, or using our services, you agree to these Terms.
2) Scope of services
Services may include website design and development, web hosting, business email services, maintenance, search engine optimization, video/photo production, creative services, consulting, and related deliverables. The exact scope, timeline, and price are defined in a written proposal, statement of work, invoice, or email confirmation (the “Project Agreement”). If there is a conflict, the Project Agreement controls.
3) Client responsibilities
- Provide timely access to required accounts, content, files, and approvals.
- Maintain secure passwords and enable two-factor authentication (2FA) where available.
- Only grant admin or administrator-level access to qualified, trusted users, and remove access immediately when it’s no longer needed.
- Remove access for former staff or vendors when no longer needed.
- Ensure you own, or are properly licensed to use, all content you provide (text, images, video, logos, fonts, music, etc.).
- Maintain active licenses for third-party themes/plugins/services unless included in writing.
- Notify Redideo Studio promptly if you suspect compromised accounts, unauthorized access, or unusual website/email activity.
Delays caused by missing access, late content, or slow approvals may extend timelines and may require additional fees.
4) Fees, billing, and payment
- Fees and billing schedules are listed in your Project Agreement or invoice.
- Work may be paused for nonpayment or overdue balances.
- Third-party costs (domains, premium plugins, paid tools, ad spend, etc.) are separate unless clearly included in writing.
5) Changes, revisions, and out-of-scope work
Revisions and included rounds (if any) are defined in the Project Agreement. Anything beyond that is considered out of scope and may require a change order or additional billing.
6) Deliverables and approvals
Deliverables are provided in the formats listed in the Project Agreement. You are responsible for reviewing deliverables and providing feedback within a reasonable timeframe. If a project is delayed due to a lack of response, the timeline may shift.
7) Ownership and licensing
- What you own (your materials): You retain ownership of your brand assets and content you provide, including (as applicable) your logo, trademarks, business name, copy and wording you wrote or supplied, images you own, videos you own, and your business data.
- Your website data: If your website collects data (such as form submissions, customer details, or analytics data tied to your accounts), that data is yours. Note: third-party platforms (email tools, CRMs, payment processors, analytics tools, etc.) may also have their own terms and data policies.
- What you receive from Redideo Studio: Once all invoices are paid in full, you receive rights to the final website deliverables created specifically for you, as described in the Project Agreement (for example: page layouts, site structure, custom graphics created for you, and configuration work).
- Stock photography and other licensed assets: If Redideo Studio licenses stock photography, video, music, fonts, icons, or other third-party assets on your behalf, you receive a license to use those assets only for the specific uses and limits covered by the original license. You do not own those assets, and you may not reuse, resell, share, or use them outside the licensed scope.
- Third-party themes/plugins/software: Themes, plugins, fonts, and software remain subject to their own licenses. You are responsible for renewals and ongoing license costs unless included in writing.
- Our tools and methods: We retain rights to our internal processes, templates, reusable components, and non-client-specific code/workflows. These may be used across projects.
8) Portfolio and promotional use
Unless you request confidentiality in writing, you grant Redideo Studio permission to display completed work (such as screenshots, excerpts, and links) in our portfolio and marketing. If you later request removal for a legitimate business reason (for example, confidentiality requirements, rebranding, or legal/compliance restrictions), we will remove it from Redideo Studio-controlled channels within a reasonable timeframe. We cannot guarantee removal from third-party platforms or search engine caches.
9) Web hosting and email terms
This section applies only if Redideo Studio provides web hosting and/or business email services for your website or organization.
9.1 Included and not included
Hosting and/or email plan details (storage, backups, monitoring, updates, support, mailbox counts, retention, etc.) are defined in your Project Agreement or invoice. Items not listed are not included.
9.2 Hosting access and ownership
If Redideo Studio provides web hosting, you are purchasing a hosting service, not ownership of server space or infrastructure. Redideo Studio manages the hosting environment and may make reasonable changes to protect performance, reliability, and security for all clients.
9.3 Security practices and expectations
Redideo Studio follows reasonable, industry-standard practices to reduce risk (for example: access controls, secure configuration, monitoring where available, backups when included, and security hardening as appropriate). However, no hosting or email system can be guaranteed 100% secure. You acknowledge that websites and email accounts can be compromised through phishing, credential theft, malware, provider vulnerabilities, or other attack methods.
9.4 Email services, access, and privacy
If Redideo Studio provides, configures, or manages business email services (including DNS records, mailbox setup, spam filtering, or email hosting through a third-party provider), you acknowledge:
- Administrative capability: As with most managed email services, administrator-level access may exist for configuration and support.
- Privacy: Redideo Studio respects client privacy and does not access mailboxes unless (a) you request support that requires it, or (b) access is reasonably necessary to investigate or resolve a technical issue (for example, delivery failures, account lockouts, suspected compromise, or configuration errors).
- Minimum necessary access: When mailbox access is needed, we will limit access to what is necessary to perform the requested support. When feasible, we will request permission first.
9.5 Acceptable use
You agree not to use our hosting or email environment to:
- Send spam, run phishing campaigns, distribute malware, or participate in abusive traffic.
- Host illegal content or content that infringes intellectual property rights.
- Install pirated or “nulled” themes/plugins, or other compromised software.
- Create an excessive load that negatively impacts other clients.
9.6 Client security responsibilities
- You are responsible for keeping admin access limited to trusted users.
- You are responsible for keeping WordPress, plugins, and themes updated unless you are on a maintenance plan that includes updates.
- You are responsible for keeping email accounts secure (strong passwords, 2FA where available) and removing access for former staff/vendors.
- You agree to address known vulnerabilities promptly when notified.
9.7 Immediate suspension or termination for security risk
To protect our infrastructure and other clients, we reserve the right to suspend or terminate hosting and/or email services immediately (with or without notice) if we reasonably believe your website, email account, or behavior:
- Has been hacked or is actively compromised
- Is sending spam or participating in abuse
- Contains malware, backdoors, or suspicious scripts
- Is neglected in a way that creates a security risk to other sites (for example, repeatedly ignoring critical updates, using pirated software, or refusing to address known vulnerabilities)
- Otherwise poses a threat to other clients in our hosting environment
If suspension occurs, restoration may require security cleanup, updates, reconfiguration, password resets, or migration. Unless included in a maintenance plan, remediation work is billable.
9.8 Backups, retention, and restores
If backups are included, backup frequency and retention vary by plan. Backups are a safety measure, not a guarantee. Restore requests may be billable unless included in writing. Email retention and recovery options depend on the provider and your plan, and deleted emails may not be recoverable.
9.9 Cancellation and migration
Cancellation notice requirements (if any), final billing, and any data handoff window are defined in your Project Agreement. Domain transfers and third-party services may require additional coordination and are subject to those providers’ policies. Migration services and coordination (including moving hosting, email, domains, files, or data to another provider) are not included in a website build or email services unless stated in writing, and will incur additional fees.
10) Maintenance and support
Maintenance and support (hours, response times, included tasks, exclusions) are defined by your maintenance plan or Project Agreement. If no maintenance plan is active, ongoing support is billed at the current hourly rate unless stated otherwise.
10.1 Response times
We aim to respond as quickly as possible. If response times are not specifically outlined in a Project Agreement or maintenance plan, our standard response time is within 1 to 3 business days. Response times may be longer during weekends, holidays, travel, or high-volume periods. Security-related issues may be prioritized at our discretion, especially if other clients could be impacted.
11) Warranties and disclaimers
We provide services in a professional manner consistent with industry standards. Except where prohibited by law, we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee specific search rankings, revenue, lead volume, or platform outcomes.
12) Limitation of liability
To the maximum extent permitted by law, Redideo Studio LLC is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, or business interruption).
Our total liability for any claim related to services is limited to the amount you paid Redideo Studio for the specific services that gave rise to the claim during the three (3) months before the event, unless your Project Agreement states otherwise.
13) Indemnification
You agree to defend, indemnify, and hold harmless Redideo Studio from claims arising from your content, your misuse of services, your violation of law or third-party rights, or your website’s operation, except to the extent caused by our proven negligence.
14) Privacy and compliance
You are responsible for your privacy policy, consent mechanisms, and legal compliance (including CCPA/CPRA and GDPR where applicable). We can help implement tools and settings, but we are not providing legal advice.
15) Suspension and termination
Either party may terminate a Project Agreement according to its written terms. We may suspend work or services for nonpayment.
Violation of these Terms: Redideo Studio may suspend or terminate services (including hosting and email services, if applicable) if you materially violate these Terms, if your use creates legal or security risk, or if you fail to remediate issues after notice. Where feasible, we will provide notice and an opportunity to cure; however, immediate suspension may occur when necessary to protect systems, other clients, or the public.
We may also suspend or terminate hosting and/or email services as described in Section 9 to protect systems and other clients.
16) Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute will be handled in the state or federal courts located in San Diego County, California, unless otherwise agreed in writing.
17) Updates to these terms
We may update these Terms from time to time. The current version will be posted on our website with the effective date updated. Continued use of services after updates means you accept the updated Terms.
